Accredited Investor Requirements for Regulation D Offerings
Investor Eligibility
Participation in our Regulation D offerings is limited to accredited investors. To qualify, individuals must meet at least one of the following criteria:

  • Net worth exceeding $1 million, excluding the value of the primary residence.

  • Annual income exceeding $200,000 (individual) or $300,000 (joint with spouse) for the past two years, with a reasonable expectation of maintaining the same income level in the current year.

Individual Investors

  • Full Name

  • Government-Issued ID

  • Date of Birth

  • Social Security Number

  • Background Check & KYC Verification

  • OFAC and FINCEN Screening

  • AML Compliance Check

  • Signed Investment Agreement

Joint Accounts

  • Full Names of Both Investors

  • Government-Issued IDs

  • Dates of Birth

  • Social Security Numbers

  • Background Check & KYC Verification for Both Parties

  • OFAC and FINCEN Screening for Both

  • AML Compliance Checks for Both

  • Signed Agreements for Both


Trusts

  • Signed Investment Agreement

  • Proof of Accreditation

  • Trust Agreement

  • Tax ID for the Trust

  • State Trust Filing Documentation

  • Government-Issued ID for Trustee

Entities

  • Signed Investment Agreement

  • Tax ID Letter (SS-4)

  • Articles of Incorporation

  • State Incorporation Documents

  • Government-Issued ID of an Authorized Officer

  • Proof of Accreditation

Methods to Verify Investor Accreditation
Investors must provide documentation dated within the last 90 days that clearly states their full name and matches the name on all related investment documents.

1. Letter of Accreditation
A verification letter from a licensed attorney or CPA, issued within the past 90 days, containing:

  • Business contact information of the verifier

  • Licensing credentials of the verifier

  • Signature of the verifier

2. Proof of Financial Assets
Investors must demonstrate assets exceeding $1 million (excluding the primary residence) through:

  • Bank Statements

  • Brokerage Statements

  • Certificates of Deposit

  • Tax Assessments

  • Credit Reports (from a nationwide consumer reporting agency, along with a written investor representation)


3. Proof of Income
For those qualifying based on income ($200K individual / $300K joint), the following documents must be submitted:

  • W-2 Forms

  • 1099 Forms

  • Schedule K-1 (Form 1065)

  • Filed Form 1040

  • Asset Statements (covering the last 60–90 days)

4. Real Estate Assets (Excluding Primary Residence)

  • Recent Property Tax Statement (from local county records)

  • Personal Tax Returns showing rental income (Form 1040, Schedule E)

  • Real Estate Appraisal for property valuation

Accredited Entity Requirements
Entities can qualify as accredited investors if they meet one of the following conditions:
 
Entities with $5 Million+ in Assets or Investments

  • Corporations

  • Partnerships

  • LLCs

  • Trusts

  • Family Offices

  • 501(c)(3) Organizations

  • Employee Benefit Plans (as defined by ERISA)

Financial Institutions with $5 Million+ in Assets

  • Banks

  • Savings & Loan Associations

  • Insurance Companies

  • Registered Investment Companies

  • Business Development Companies

  • Small Business Investment Companies

  • Rural Business Investment Companies

Professional Accreditation Criteria

The following professionals automatically qualify as accredited investors:

  • Licensed securities professionals with active Series 7, Series 65, or Series 82 certifications

  • Directors, executive officers, or general partners (GPs) of the issuing company

  • Family clients of a family office that qualifies as an accredited investor

  • Knowledgeable employees investing in private funds

  • SEC-registered broker-dealers and investment advisers managing $5 million+ in assets
